AKD was engaged as legal counsel by the shareholders of Atabix Solutions B.V. (‘Atabix’) in the context of a transaction comprising the sale and transfer of the entire issued and outstanding share capital of Atabix to a newco of which Dutch private equity fund DELTA Equity Partners and the founders are joint shareholders.

Atabix is a software company incorporated in 2012 that has developed a software platform for high-touch SaaS-solutions with a focus on the eGovernment industry. Atabix advises and assists – among others - government agencies and private businesses with the development, configuration and implementation of digital solutions to improve and automate or digitise internal processes with a view on increasing overall productivity.

DELTA Equity Partners (‘DELTA’) is a fairly recently established Dutch investment fund focussing on investments in SME companies with substantial growth potential in the technology and health sectors.

Laura de Jong acted as team leader for the M&A work in this transaction on behalf of the founders. AKD (Niels Hagelstein) was also involved in advising founders (as future management board of the purchase vehicle) in respect of the acquisition finance documents and underlying security package.   

DELTA was advised by Dutch boutique firm BJTK Law (Quirijn Biesheuvel).

Quist Geuze Meijeren Notarissen in Amsterdam acted as Dutch civil notary in this transaction.

Both DELTA and founders issued a public statement announcing the transaction.
